The Code of Business Conduct, or COBC, illustrates and reinforces our values and should be used as a tool to help guide you in making decisions and resolving issues you may encounter in your role. Organizational ethics is the applied ethics discipline that addresses the moral choices influenced and guided by values, standards, principles, rules, and strategies associated with organizational activities and business situations. Organizational ethics focuses both on the choices of the individual and the group.       We must avoid any relationship or activity that might impair, or even appear to impair, our ability to make objective and fair decisions when performing our jobs. We must never use Nuvem Lab\u2019s property or information for personal gain or personally take for ourselves any opportunity that is discovered through our position with Nuvem.<\/p>

      • Serving as a board member for an outside commercial company or organization.<\/li>
      • Owning or having a substantial interest in a competitor, supplier, or contractor.<\/li>
      • Having a personal interest, financial interest, or potential gain in any Nuvem Labs transaction.<\/li>
      • Placing company business with a firm owned or controlled by a Nuvem Labs employee or his or her family.<\/li>
      • Accepting gifts, discounts, Flavors, or services from a customer\/potential customer, competitor, or supplier, unless equally available to all Nuvem Labs employees.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

        Determining whether a conflict of interest exists is not always easy. Employees with a conflict-of-interest question should seek advice from management. Before engaging in any activity, transaction, or relationship that might give rise to a conflict of interest, employees must seek review from their managers or the HR department.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

        Violations of \u2018Nuvem Labs Code of Business Conduct\u2019 or commission of dishonest or illegal activities on Nuvem Labs premises or while conducting Nuvem Labs business may result in disciplinary action up to and including immediate dismissal and legal measures. The fact that an illegal or dishonest act or prohibited act may be considered minor in nature will not be a justification for the mitigation of any disciplinary or legal action taken by the company.
